1. Definitions

Term

Meaning

"Company", "we", "us", "our"

AWAKEN HEAL ASCEND LLC, doing business as TriLumination™ ("TriLumination"), the provider of the Services described below.

"User", "you", "your"

Any natural person or legal entity that accesses, registers for, or purchases any Service from the Company.

"Service(s)"

All offerings provided by the Company, including without limitation:

1.1 Coaching Services

Live or recorded one-on-one or group coaching sessions (virual, video, phone, or written correspondence).

1.2 Connection or Holistic Energetic Coaching 

Plant, animal, or elemental energy work/communication sessions and other holistic energetic services (virtual, video or written delivery).

1.3 Subscription Community

Access to members-only forums, live celebrations/meetings, Q&A sessions, newsletters, and ongoing support.

1.4 Digital Products

Courses, audio meditations, prompts, worksheets, and other non-tangible material delivered electronically via online access only (no downloads permitted).

1.5 Content Library

Podcasts, blog articles, newsletters, recorded sessions, and other educational materials and content available through the platform.

1.6 Virtual Retreats

Multi-day immersive online experiences including live sessions, guided practices, and community activities.

"Content"

All materials created by the Company and made available through a Service (videos, PDFs, audio files, worksheets, blog posts, podcast episodes, newsletters, etc.).

"Platform"

The strictly online, non-downloadable software environment through which Services are delivered.

"Personal Data"

Any information relating to an identified or identifiable natural person, as defined by applicable data-protection laws.

"Agreement"

These Master Terms of Service, together with any applicable Addenda, Policies, or Schedules referenced herein.

"Effective Date"

The date shown at the top of this Agreement.

"Applicable Law"

The laws of the jurisdiction(s) specified in Section 14, without regard to conflict-of-laws principles.

 

2. Scope of Services

2.1 Coaching Services

Provided via video conference, phone, or written correspondence. Sessions are scheduled by mutual agreement between User and Coach.

2.2 Connection/Holistic Energetic Coaching Services

Delivered virtually (e.g., remote energy work, plant/animal/elemental connection modalities and other holistic services). These services are belief-based and subjective in nature.

2.3 Subscription Community Services

Access granted on a recurring-billing basis; includes private forum, live group calls, newsletters, periodic content updates, and member support.

2.4 Digital Products

Access is provided to online material after purchase. Content is delivered via secure streaming or online viewing only. No downloads, installations, or permanent copies are permitted. Time-sensitive courses expire according to their stated access period.

2.5 Content Library

Includes podcasts, blog articles, newsletters, recorded educational materials. Access may be included with Subscription Community membership or purchased separately.

2.6 Virtual Retreats

Multi-day or one-day online immersive experiences. Registration includes access to live sessions, recorded replays (where applicable), and community activities. Specific retreat details are outlined in individual event descriptions.

2.7 Platform Nature

TriLumination operates as a strictly online, non-downloadable software platform. All content is delivered digitally via streaming or secure online access only. Users acknowledge that no physical downloads, software installations, or permanent copies are provided.

 

3. Payment, Billing & Refunds

3.1 Pricing

Prices are displayed on the relevant sales page and are quoted in USD unless otherwise indicated.

3.2 Payment Methods

We accept credit/debit cards, Apple pay, and Google pay. We accept other payment processors only if listed at checkout.

3.3 Recurring Billing

Subscription Community fees are charged automatically on the renewal date (monthly or annually). Users may cancel per Section 3.5.

3.4 Refunds

Refund Policy

Coaching Services

Refunds available only if cancellation request is received ≥48 hours before scheduled session; otherwise non-refundable.

Holistic Energetic  Services

Same policy as Coaching Services.

Digital Products

No refunds once the product has been accessed, except where required by applicable consumer-protection law.

Subscription Community

Cancellations effective at end of current billing cycle; no prorated refunds issued.

Virtual Retreats

Refunds available ≥14 days before event start date; partial refunds (50%) available 7–14 days before; no refunds within 7 days of event.

Content Library and other subscriptions (Podcasts/Blogs)

Generally non-refundable once accessed. 

                 

Cancellations effective at end of current billing cycle; no prorated refunds issued.

 

 

3.5 Cancellation

Users may cancel any future Coaching sessions, or terminate a Subscription, by contacting us at [email protected].

 

4. User Obligations

4.1 Accurate Information

You agree to provide truthful, complete, and up-to-date information during registration and purchase.

4.2 Compliance with Laws

You will not use the Services for any unlawful purpose or in violation of any applicable regulation.

4.3 Conduct

In the Subscription Community and Group Coaching Sessions or Courses you must adhere to the Community Guidelines (see Section 9). Harassment, hate speech, or illegal activity will result in immediate removal.

4.4 Holistic Energetic Health Disclaimer

You acknowledge that Coaching Services are not medical, psychiatric, psychological, or legal advice. Consult qualified professionals for such matters.

4.5 Platform Access

You are responsible for maintaining adequate internet connectivity and compatible devices to access the Platform. We are not liable for technical issues beyond our control.

4.6 Age Eligibility

You must be at least 18 years old to use our Services, or have parental consent if between 13-17. We are developing age-appropriate content for minors, which will have separate terms and guidelines.

 

5. Intellectual Property

5.1 Ownership

All Content, including but not limited to course materials, recordings, PDFs, audio files, prompts, blog posts, podcast episodes, and newsletters, remains the exclusive property of AWAKEN HEAL ASCEND LLC and its licensors.

5.2 License Grant

Upon successful payment, you receive a limited, non-exclusive, non-transferable, revocable license to:

  • (a) view and use the Content for personal, non-commercial purposes; and
  • (b) make reasonable personal notes or excerpts for your own learning.

5.3 Restrictions

You may not:

  • (a) reproduce, distribute, publicly display, or create derivative works of the Content for commercial gain;
  • (b) sell, lease, or sublicense the Content;
  • (c) remove or alter any copyright, trademark, or proprietary notices; or
  • (d) download, save, or store Content outside the Platform's secure access environment.

5.4 User-Generated Content

If you submit any material (e.g., forum posts, assignment answers, retreat reflections), you grant the Company a worldwide, royalty-free, irrevocable license to use, reproduce, modify, and display that material in connection with the Services.

 

6. Disclaimers & Limitation of Liability

The Services are provided "as is" and "as available". The Company makes no warranties, expressed or implied, regarding the effectiveness, suitability, or results of any Coaching, Healing, Digital Product, or other Service.

6.2 No Professional Advice

The Company is not a medical, psychological, legal, financial, or healthcare professional. Any information provided is for educational and inspirational purposes only.

6.3 Spiritual Practices Disclaimer

Spiritual, metaphysical, and holistic wellness content is belief-based and subjective. Individual experiences vary widely. Results are not guaranteed and depend on personal commitment, circumstances, and interpretation.

6.4 Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.

6.5 Maximum Exposure

The Company's total aggregate liability for any claim arising under this Agreement shall not exceed the amount you paid for the specific Service giving rise to the claim.

 

7. Privacy & Data Protection

7.1 Privacy Policy

Our collection, use, and sharing of Personal Data are described in the Privacy Policy at https://www.awakenhealascend.com/privacy-policy which is incorporated by reference into this Agreement.

7.2 Data Processing

Where required (e.g., for EU residents), we will enter into a Data-Processing Addendum with our processors.

7.3 Security Measures

We employ commercially reasonable technical and organizational safeguards to protect Personal Data.

 

8. Cookies & Tracking

We use cookies and similar technologies to improve user experience and for analytics. Details are provided in our Cookie Notice (linked from the website footer). By using the Services you consent to such use.

 

9. Community (Subscription Community) and Group Session/Course Guidelines

9.1 Respectful Interaction

Treat all members with respect. Hate speech, harassment, or personal attacks are prohibited.

9.2 Content Ownership

Members retain ownership of their own contributions but grant the Company the license described in Section 5.4.

9.3 Confidentiality

Private session content and shared personal information should remain confidential within the community.

9.4 Enforcement

Violations may result in warnings, temporary suspension, or permanent removal from the community, at the Company's discretion.

 

10. Termination

10.1 By the Company

We may terminate or suspend your access to any Service (with or without notice) for breach of this Agreement, unlawful activity, or repeated violations of the Community Guidelines.

10.2 By the User

You may terminate your account at any time by notifying us at [email protected]  For prepaid subscriptions or other purchases, refunds are handled per Section 3.4.

10.3 Effect of Termination

Upon termination, all licenses granted under Sections 5.2 and 5.4 cease. You must cease all access to Content and delete any cached or temporary files that you may have stored locally.

 

11. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of:

  • (a) your breach of this Agreement;
  • (b) your violation of any law or third-party right; or
  • (c) any User-Generated Content you submit.

 

12. Force Majeure

The Company shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, internet outages, or platform infrastructure failures.

 

13. Governing Law & Dispute Resolution

13.1 Governing Law

This Agreement shall be governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws principles.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's award shall be final and enforceable in any court of competent jurisdiction.

13.3 Venue

Arbitration hearings shall be held in Illinois, unless the parties mutually agree otherwise.

 

14. Miscellaneous

14.1 Entire Agreement

This Agreement, together with the Privacy Policy, Cookie Notice, and any Addenda, constitutes the entire agreement between you and the Company concerning the Services.

14.2 Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Failure to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer your rights or obligations under this Agreement without the Company's prior written consent.

14.5 Notices

All notices required under this Agreement shall be sent to [email protected] or posted on the website's legal notices page at https://www.awakenhealascend.com/legal-notices.

14.6 Updates

We reserve the right to update these Terms periodically. Continued use of the Services after changes constitutes acceptance of the updated Terms.

By accessing, viewing, or participating in any TriLumination service, you acknowledge that you have read, understood, and agreed to the terms of service in full. If you do not agree, please discontinue use immediately.
